5 Ubicación: Almacén de Seguridad, Suiza.

6 Entrega: EX Security Warehouse, Zúrich en Suiza.

7 Cantidad: 30,000 TM SPOT R&E.

8 Primer Tramo de Prueba: A concretar entre Vendedor y Comprador.

9 Levantamiento posterior

Horario: A ser finalizado entre el Vendedor y el Comprador.

10 Pureza: 99,99 % 4N.

11 Precio: LBMA 2da Tasa de Fijación.

12 Descuento: 12% Neto, 9% Bruto

13 Asignación de comisiones: 1,5 % para el lado del vendedor (cerrado) 1,5 % para el lado del comprador.

14 Divisa de transacción: Cualquiera de JPY o USD o EURO.

15 Modo de Pago: Transferencia Bancaria al banco del Vendedor siendo UBS Zurich.

PROCEDURES

1. Seller’s Representative sends this SCO for to Buyer to review.

2. Buyer/ Buyer's Full Mandate Issues LOI and attaches his passport for the Due Diligence necessary by the Seller.

Seller cannot sell to Buyers from CCP, Russia, Hongkong and Iran.

Seller informs SBO about the DD and compliance.

Buyer informs Seller about his UBS bank manager's name, so Seller's bank manager can invite him to communicate to prepare a ledger-to-ledger Transaction.

After initial DD, buyer may be requested to issue out an ATV to the seller’s bank officer.

3. Buyer I Seller sending draft SPAwith transaction codes to Seller/Buyer. Seller's bank officer (SBO) at UBS contacts BBO to verify the Buyer's POF and the Seller's POP simultaneously within bank communication. IMFPA with same codes agreed.

4. Seller invites Buyer/Buyer's Mandate and BBO to a transaction with transaction date.

a) SBO show SKR and relevant documents to the Buyer/Buyer's Mandate and BBO.

b)The Buyer 's assay team are invited to the secure warehouses for physical

inspection-assay.

5. Seller and Buyer calculate price of the assay report, agree & sign SPA

(4 copies) and the prepared IMFPA attached places at the SBO and BBO.

6. Buyer transfers the amount of each tranche to the Seller's bank account.

7. Seller changes Title and other relevant documents to Buyer in Tranches according to SPA.

8. Seller and Buyer pay the IMFPA to the respective intermediaries at the same time on transaction.

9. Buyer lifts the product from the security warehouse (The material is fully liftable and exportable)
