Dear Mr. / Mr We, Corius Metals & Trading DMCC, 20TH FLOOR ASPIN COMMERCIAL TOWER DUBAI- U.A.E, registered under number 188962, represented by Mr. Adriaan van Westreenen, Company Director hereby confirm with full legal and corporate responsibility, and under penalty of perjury, with full knowledge of the act of fraud; and as the Seller or Authorized Seller’s Mandatory, are ready, willing and able to deliver the herein offered (Au) metal under the following terms and conditions: 1. Product Description: a. Commodity Gold AU b. Form: Dore bars c. Quality 22+ (carat) c. Purity 96%+ d. origin: Cameroon 2. Quantity: a. Kg first delivery 100 kg b. Kg total delivery _______ kg, with__________kg monthly / weekly delivery for a period of one (1) year 3. Price: Based on the London Metal Exchange (LME Gold) 4. Discount: Seller’s price LME – 10% 5. Method of Payment: Bank instrument of Buyer’s choice: SBLC MT760 MT760 Block Funds Bank Guarantee LC MT 700 The bank instrument must be operative, irrevocable and transferable. 6. Transaction: Seller is committed to deliver the Gold to the destination place, as mutually agreed with the Buyer, under the condition of CIF airport __________, and Bank to Bank, with a MT103 SWIFT message 7. Documents: The Seller will provide the following Documents: Certificate of Origin Certificate of Weight List Certificate of Ownership Certificate of Assayer Report Custom Clearance Commercial Invoice Export permit/Export License Seller´s declaration that all Duties, Charges and Taxes to the relevant Authorities are paid and AU metals is free of any liens, taxes and encumbrances of any kind at delivery Warrant/Certification that AU metals is of non-criminal origin AU Metal is confirmed by Seller to be freely tradable and exportable worldwide Procedures: 1. Seller issue Full Corporate Offer (FCO) 2. After mutual agreement, seller issue a Non-disclosure & non-circumvention agreement (NCNDA) 3. After verification of the document, Corius Metals & Trading completes NCNDA with all involved persons from Buyer side and returns FCO and NCNDA signed and sealed to Buyer side 4. Seller issue draft Sales and Purchase Agreement (SPA), based on this FCO 5. After mutual agreement, Corius Metals & Trading and Buyer sign and seal the SPA 6. Bank to Bank: Both parties lodge copy of the SPA with their respective Bank. Buyers bank Bullion Officer deals directly with Sellers bank Bullion officer. Proof of Product (POP) / Proof of Funds (POF) / Block of Funds according to mutual agreement between Buyer and Seller. Also working with a MT760 SBLC or Bank Guarantee. 7. Seller sends material to airport Buyer’s destination. Transport costs and insurance will be paid by Seller 8. Buyer takes over the Gold at the airport free zone. From this point Buyer takes over the responsibility for transport and insurance 9. All costs of the new refinery assay by Buyer’s destination Refinery has to be paid by the Buyer 10. After a new final Assay Report issued by the Refinery at Buyer´s destination, Buyer arranges the payment by Swift MT 103 11. Once payment in full has been made for each tranche, the title of the Gold shall be immediately transferred from the Seller to the Buyer.
